1. Acceptance of Terms

By accessing or using everyais (the "Service") operated by BROZ Corp. ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

everyais is a multi-cloud AI API gateway that provides access to AI models from multiple cloud providers (including AWS Bedrock, Google Vertex AI, Kakao GPU, Lambda GPU, and Nebius GPU) through a single OpenAI-compatible API endpoint. The Service includes:

• Chat completions API (text generation)
• Image generation and editing API
• Batch processing API
• Model routing and failover
• Usage analytics and management dashboard

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials and API keys
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

API keys are prefixed with everyais_ and are stored as SHA-256 hashes. You are solely responsible for keeping your API keys confidential. We will never ask you for your API key.

4. API Usage & Restrictions

4.1 Fair Use

You agree to use the Service in a manner consistent with its intended purpose and not to exceed reasonable usage levels. We reserve the right to throttle or suspend accounts that exhibit abusive usage patterns.

4.2 Rate Limits

The Service enforces rate limits to ensure fair access for all users:

• General API: 100 requests per minute
• Authentication endpoints: 10 requests per minute

Rate limits may be adjusted. Enterprise customers may contact us for custom rate limit arrangements.

4.3 Prohibited Uses

You may not use the Service to:

• Generate content that promotes violence, terrorism, or physical harm
• Create child sexual abuse material (CSAM) or any content exploiting minors
• Produce content that harasses, threatens, or intimidates individuals
• Generate or distribute malware, viruses, or other malicious code
• Create non-consensual deepfakes or impersonation content
• Develop weapons or provide instructions for creating weapons
• Generate content that discriminates based on race, gender, religion, nationality, disability, or sexual orientation
• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Attempt to bypass rate limits, authentication, or other security measures
• Reverse-engineer, decompile, or attempt to extract the source code of the Service

5. AI-Generated Content

You acknowledge and agree that:

• AI-generated output is not guaranteed to be unique, accurate, complete, or non-infringing
• You are solely responsible for reviewing, validating, and using any AI-generated output
• everyais acts as an intermediary — content is generated by third-party AI providers, not by everyais
• AI outputs may contain errors, biases, or hallucinations and should not be relied upon as sole source of truth
• You must comply with all applicable laws when using AI-generated content, including disclosure requirements

6. Intellectual Property

6.1 Your Content

You retain all rights to the input you submit and the output you receive through the Service, subject to the rights of the underlying AI providers.

6.2 License to everyais

You grant everyais a non-exclusive, worldwide, royalty-free license to use your input and output solely for the purposes of:

• Providing and delivering the Service
• Generating aggregated, anonymized usage analytics

We do not use your input or output to train AI models.

6.3 Usage Data

Aggregated and anonymized usage data (such as token counts, model usage patterns, and performance metrics) is owned by everyais and may be used for service improvement and analytics.

7. Fees & Payment

7.1 Credit-Based Billing

The Service uses a credit-based billing system. Charges are calculated based on token usage (for text models) or per-image (for image generation models). Current pricing is available on our pricing page and may be updated from time to time.

7.2 Refund Policy

Purchased credits are non-refundable except as required by applicable law. Credits expire 365 days after purchase. Promotional or free credits expire 90 days after issuance and are non-refundable.

7.3 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any taxes associated with your use of the Service, unless otherwise stated.

8. Third-Party AI Providers

everyais routes your API requests to third-party AI providers. You acknowledge that:

• Each provider has its own terms of service and acceptable use policies
• Provider availability and performance may vary
• everyais is not responsible for the content generated by third-party AI models
• everyais is not liable for provider outages, service degradation, or data handling by providers

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Content you submit to or generate through the Service
• Your violation of any applicable law or the rights of any third party

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach any provision of these Terms
• We are required to do so by law
• We reasonably believe your account has been compromised
• Your usage poses a risk to the Service or other users

Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited upon account termination for cause. If you terminate your account without cause, you may request a final usage report before deletion.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the Seoul Central District Court, Republic of Korea.

14. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice through the Service or via email before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.
